1) Who we are
Waypoint Fractional Partners, LLC (“Waypoint,” “we,” “our,” or “us”) provides fractional executive leadership, business development, and partnerships services to small and mid-size organizations. These Terms & Conditions (“Terms”) govern your access to and use of our website at https://www.waypointpartners.co (the “Site”).
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

2) What these Terms cover (and don’t)
These Terms cover your use of the Site and any public materials we make available there (blog posts, downloads, forms, scheduling). If you engage us for services, the signed Master Services Agreement/Statement of Work (MSA/SOW) or other written contract will govern that relationship and controls if there’s a conflict with these Terms.

3) Eligibility & acceptable use
You may use the Site only for lawful, business purposes. You agree not to:

Break any law or violate others’ rights;

Access, scrape, or monitor the Site via bots or unauthorized means;

Introduce malware or attempt to disrupt or bypass security;

Misrepresent your identity or affiliation;

Use the Site to solicit, spam, or upload unlawful content.
We may suspend or restrict access for suspected violations.

4) Your content & submissions
If you submit forms, inquiries, or files, you represent you have the right to share them and they are accurate and lawful. Do not send confidential or proprietary info through public forms; if needed, we’ll put a mutual NDA in place first.
You grant Waypoint a non-exclusive right to use submissions solely to respond to you and operate the Site. We do not claim ownership of your trademarks, logos, or confidential business materials.

5) Third-party services
The Site may include or link to third-party tools we don’t control (e.g., scheduling, conferencing, file viewers, video platforms, analytics). Their terms and privacy policies apply to their services. We are not responsible for their content, availability, or practices.

6) Intellectual property
The Site, its design, text, graphics, logos, and other content are owned by or licensed to Waypoint and protected by IP laws. Except for limited viewing for your internal business use, you may not copy, modify, distribute, or create derivative works without our prior written consent.
If you believe content on the Site infringes your copyright, contact us (see Section 15) with sufficient detail and we’ll review promptly.

7) No professional advice
Content on the Site is for general informational purposes only. It is not legal, financial, tax, HR, or other professional advice. You should obtain advice tailored to your situation before taking action.

8) Disclaimer of warranties
To the fullest extent permitted by law, the Site is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, or accuracy.

9) Limitation of liability
To the fullest extent permitted by law, Waypoint and its members, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits/revenues, arising from or related to your use of the Site. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the maximum extent permitted.

10) Indemnification
You agree to defend, indemnify, and hold harmless Waypoint from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site, (b) your submissions, or (c) your violation of these Terms or applicable law.

11) Privacy & cookies
Your use of the Site is also governed by our Privacy Policy, which explains what we collect and why, and by our cookie practices described there. By using the Site, you consent to those practices.

13) Changes to the Site and these Terms
We may improve, update, or discontinue parts of the Site at any time. We may update these Terms occasionally; when we do, we’ll change the “Effective date.” Continued use of the Site after changes means you accept the updated Terms.

14) Governing law; venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. Exclusive venue for any dispute relating to the Site or these Terms is in state or federal courts located in Broward County, Florida, and you consent to personal jurisdiction there.

Terms & Conditions - the basics
Having said that, Terms and Conditions (“T&C”) are a set of legally binding terms defined by you, as the owner of this website. The T&C set forth the legal boundaries governing the activities of the website visitors, or your customers, while they visit or engage with this website. The T&C are meant to establish the legal relationship between the site visitors and you as the website owner.
T&C should be defined according to the specific needs and nature of each website. For example, a website offering products to customers in e-commerce transactions requires T&C that are different from the T&C of a website only providing information (like a blog, a landing page, and so on).
T&C provide you as the website owner the ability to protect yourself from potential legal exposure, but this may differ from jurisdiction to jurisdiction, so make sure to receive local legal advice if you are trying to protect yourself from legal exposure.
What to include in the T&C document
Generally speaking, T&C often address these types of issues: Who is allowed to use the website; the possible payment methods; a declaration that the website owner may change his or her offering in the future; the types of warranties the website owner gives his or her customers; a reference to issues of intellectual property or copyrights, where relevant; the website owner’s right to suspend or cancel a member’s account; and much, much more.
